Acceptance
Please note: Eligible Shareholders who take up their Rights in full will have the opportunity to acquire additional New Shares above their entitlement by subscribing for Additional New Shares under the Oversubscription Facility. Any Additional New Shares applied for under the Oversubscription Facility will be issued at the Offer Price.
In accordance with the terms and conditions in the Offer Document (Terms and Conditions). Please complete the number of New Shares for which you are applying and complete the payment instruction on the following page.
Oversubscription Facility
You have accepted your full entitlement to New Shares in the box above. This means that you have the opportunity to apply for Additional New Shares up to a maximum amount of Additional New Shares equal to the greater of:
- 100% of your Rights entitlement; or
- $500,000.
If you apply for Additional New Shares, you will need to pay for both your Rights and for the Additional New Shares that you are applying for at the Offer Price. Additional New Shares will be issued at the Offer Price. Please refer to paragraph 10 of Part 3 of the Offer Document for further information on the Oversubscription Facility and how applications for Additional New Shares in the Oversubscription Facility may be scaled.
Any Additional New Shares applied for under the Oversubscription Facility will be issued at the Offer Price. Comvita will determine allocations and any necessary scaling of Applications for Additional New Shares under the Oversubscription Facility. There is no certainty that Eligible Shareholders who apply for Additional New Shares will receive them, and Comvita may, in its sole discretion, scale Applications for Additional New Shares under the Oversubscription Facility in a manner that constrains the aggregate capital raised under the Offer and the Strategic Placement including by allocating Shortfall Shares to F&N as part of their Shortfall Commitment even where such Shares would otherwise have been available in the Oversubscription Facility.
Comvita's decision on scaling will be final. Any refunds of application monies due to scaling of applications or applications not being accepted under the Oversubscription Facility will be made within five Business Days (as defined in the NZX Listing Rules) following the Allotment Date without interest as set out in the Offer Document. If you wish to apply for Additional New Shares in the Oversubscription Facility, please specify the total value of Additional New Shares that you wish to apply for (the number of Additional New Shares you are applying for under the Oversubscription Facility multiplied by the Offer Price).

Payments are to be made in New Zealand dollars by direct debit. Direct debits allow us or our agent, including the Share Registrar - MUFG Pension & Market Services, to deduct money from your nominated bank account as payment for your application. Please complete your account details below to make payment by direct debit.
By providing your direct debit details and submitting this online Acceptance Form, you authorise us or our agent to direct debit the bank account nominated below for the total dollar amount specified below on any date after this online Acceptance Form is received by the Share Registrar.
Please note that you cannot specify a direct debit date and you must ensure that:
- a New Zealand bank account is supplied and is a transactional account eligible for direct debit transactions (please note that online saving accounts may not be direct debitable);
- the bank account details supplied below are correct;
- sufficient funds are available in the bank account for the direct debit; and
- the person(s) giving the direct debit instruction has/have the authority to operate the account solely/jointly.
If you are uncertain, you should contact your bank or financial institution. Should your direct debit fail, your application may be rejected and your bank may charge a transaction fee. If requested, the Share Registrar will provide you with a direct debit authority form.

By submitting this online Acceptance Form, you make an irrevocable and unconditional offer to subscribe for the total dollar amount of New Shares specified in the Acceptance Form, on the terms and conditions set out in the Offer Document and this Acceptance Form, and you provide the certification set out below. I/We:
- Acknowledge that the Offer Document was accessible with the Acceptance Form for the Offer on this website and that I/we have read and understood this Acceptance Form, the Offer Document (including the section “Important Notice” and "Terms of the Offer") in their entirety and agree to be bound by the terms and conditions of the Offer (contained in the Offer Document and this Acceptance Form).
- Acknowledge that the information contained in the Offer Document and the online Acceptance Form is not a recommendation to acquire New Shares or financial product advice or that the New Shares are suitable for me/us, given my/our investment objectives, financial or taxation situation or particular needs.
- Represent and warrant to Comvita that all details and statements in the online Acceptance Form are complete and accurate.
- Represent and warrant to Comvita that I am/we are an Eligible Shareholder, and agree to indemnify Comvita for any loss suffered as a result of any breach by me/us of the restrictions applicable to the Offer (including those set out in “Terms of the Offer” of the Offer Document ("Eligibility")).
- Represent and warrant to Comvita that I am/we are not in the United States and am/are not acting for the account or benefit of a person in the United States, and I/we are not otherwise a person to whom it would be illegal to make an offer or issue of Rights or New Shares under the Offer and under any applicable laws and regulations.
- Represent and warrant to Comvita that I/we have not sent the Offer Document or Acceptance Form to any person in the United States.
- Apply for the number of New Shares in respect of the total dollar amount specified in the online Acceptance Form and agree to be issued such number of New Shares (or, in the case of Additional New Shares applied for in the Oversubscription Facility, such lesser number of New Shares as may be allocated to me/us due to rounding or scaling).Acknowledge that once the Acceptance Form is returned, the application may not be varied or withdrawn except as required by law.
- Authorise Comvita to do anything on my/our behalf necessary for the New Shares to be issued to me/us, including executing any documents to affect the issue of New Shares. The Offer Price payable upon Application for each New Share under the Offer and Oversubscription Facility is $0.65.
